Terms of Service

1. Introduction & Acceptance

These Terms of Service ("Terms") constitute a legally binding agreement between the entity or individual agreeing to these Terms ("Customer", "you", "your") and AI SpendOps Ltd, a company registered in England and Wales (company number 17046015) ("AI SpendOps", "we", "us", "our"), governing your access to and use of the AI SpendOps platform, APIs, management portal, documentation, and related services (collectively, the "Service").

By creating an account, accessing the Service, or clicking "I agree", you confirm that you have read, understood, and agree to be bound by these Terms. If you are entering into these Terms on behalf of an organisation, you represent and warrant that you have the authority to bind that organisation.

If you do not agree to these Terms, you must not access or use the Service.

Key Terms

The Service

AI SpendOps is a B2B API proxy platform that provides usage tracking, cost attribution, spend governance, and policy enforcement for AI API calls. The proxy Service is a pass-through layer that does not store, log, inspect, or process the content of prompts or completions routed through it. Raw API keys are never stored; only irreversible HMAC-SHA-256 hashes are retained. The marketing-site chatbot is a separate product (see "Marketing Chatbot" below) and is governed by our Privacy Policy.

No AI Training

We do not use any data collected through the AI SpendOps proxy Service — including usage metadata, cost data, dimensions, or any other information — to train, fine-tune, or improve any artificial intelligence or machine learning models. Proxy data is used solely to provide, operate, and bill for the Service. The marketing-site chatbot processes your chat input via Anthropic to generate replies; that processing is governed by our Privacy Policy and is not used to train Anthropic's models under their commercial terms.

Marketing Chatbot

Our marketing website includes an optional AI chat assistant ("Amy") that answers questions about AI SpendOps from our public documentation. Amy is provided as is, may produce inaccurate or incomplete answers, and must not be relied on as legal, financial, or technical advice. We log only operational metadata (hashed IP, message count, status) and do not store conversation content. Use of the chatbot is subject to fair use; we may rate-limit, suspend, or withdraw the feature at any time. Do not submit personal, confidential, or proprietary information through the chatbot. Chatbot processing is described in our Privacy Policy.

Service Availability

Unless a separate SLA is in effect, the Service is provided without any uptime commitment or availability guarantee. You are responsible for designing your applications to handle proxy unavailability gracefully, including implementing failover routing directly to AI providers.

Data Accuracy

All data provided by the Service (including cost data, token counts, and usage metrics) is provided for informational purposes only on a best-efforts basis. The Service does not constitute a financial accounting system. You are responsible for verifying all data against your AI providers' invoices.

Third-Party AI Providers

Your use of AI providers is governed by your own agreements with those providers. We are not liable for AI provider outages, pricing changes, or service modifications.

Data & Privacy

Our data processing is governed by our Privacy Policy and Data Processing Addendum. The Terms include details on sub-processors, international data transfers, breach notification (within 72 hours), data retention schedules, and US state privacy law (CCPA/CPRA) provisions.

Limitation of Liability

Our total cumulative liability shall not exceed the fees paid by you in the 12 months preceding the claim. We are not liable for indirect, consequential, or punitive damages, including losses from AI system disruption, inaccurate data, or AI provider issues.

Governing Law

These Terms are governed by the laws of England and Wales. Nothing in the Terms excludes mandatory protections under applicable local law, including the Australian Consumer Law, GDPR, PIPEDA, and US state consumer protection laws.
